Terms of Service

1. Agreement to Terms

By accessing or using Prepostr ("the Service"), operated at prepostr.com by Leonardo Grigorio Araujo Desenvolvimento de Software Ltda - ME (trade name: "Lion Stance," CNPJ 54.036.904/0001-04), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and the company identified above ("Prepostr," "we," "us," or "our"). They apply to all users of the Service, including visitors, registered users, and subscribers.

2. Description of Service

Prepostr is a software-as-a-service (SaaS) platform that helps YouTube content creators:

  • Repurpose their own video transcripts into social media content using AI
  • Organize and schedule content through a project management system
  • View publicly available analytics about YouTube channels and videos
  • Identify content trends based on publicly available YouTube data

The Service relies on third-party APIs and AI providers. We do not guarantee uninterrupted availability or that third-party services will remain accessible.

3. Eligibility

You must be at least 13 years old (or 16 in the EU/EEA) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account and Authentication

  • You sign in using Google OAuth. You are responsible for maintaining the security of your Google account and for all activity that occurs under your Prepostr account.
  • You may optionally connect your YouTube channel. This grants us read-only access to your channel data via the YouTube API.
  • You may revoke YouTube access at any time through your Google Account permissions.
  • One account per person. Do not share your account credentials or create multiple accounts.
  • You must promptly notify us if you become aware of any unauthorized use of your account.

5. Your Content and Data

5.1 Ownership

You retain full ownership of your YouTube videos, transcripts, and any content you create or generate through the Service. We do not claim any ownership rights over your content.

5.2 License to Us

By using the Service, you grant us a limited, non-exclusive, revocable, non-transferable license to process your content (e.g., send transcripts to AI providers, store generated content) solely for the purpose of providing the Service to you. This license terminates when you delete your content or account.

5.3 Your Own Videos Only

The content generation features of the Service are designed for use with your own YouTube videos only. You may only generate content from videos published on a YouTube channel you own and have connected to your Prepostr account. We enforce this technically by verifying channel ownership before processing any video.

5.4 AI-Generated Content

Content generated by our AI features (posts, articles, optimization suggestions) is provided as a starting point and for informational purposes only. You are solely responsible for reviewing, editing, and publishing any AI-generated content. We do not guarantee the accuracy, originality, completeness, or compliance of AI-generated content with any platform's content policies or any applicable laws.

5.5 Content Responsibility

You are solely responsible for any content you create, generate, modify, or publish using the Service. This includes ensuring that published content does not infringe any third-party intellectual property rights, violate any applicable laws, or breach any platform's terms of service where you choose to publish it.

6. Intellectual Property

The Service, including its design, features, code, documentation, logos, and trademarks, is the intellectual property of Prepostr and is protected by applicable copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology.

7. Competitor Tracking

The competitor tracking feature displays publicly available YouTube data obtained through the official YouTube Data API v3. This data includes publicly visible metrics such as video titles, view counts, and publish dates.

  • You may only track channels for legitimate competitive analysis related to your own content creation.
  • You may not use the tracking features to harass, stalk, or target other creators.
  • The data displayed is publicly available information obtained through authorized API access.
  • We do not guarantee the accuracy or completeness of competitor data, as it depends on the YouTube Data API.

8. Subscriptions and Payments

8.1 Plans

We offer paid subscription plans with different feature limits (token allowances, competitor tracking limits). Plan details and pricing are displayed on our pricing page and may be updated from time to time.

8.2 Billing

  • Subscriptions are billed monthly through Stripe.
  • Your token allowance resets at the start of each billing cycle.
  • You may cancel your subscription at any time. Access continues until the end of your current billing period.
  • We do not offer refunds for partial months or unused tokens, except where required by applicable law.

8.3 Price Changes

We may change pricing with at least 30 days' notice. Existing subscribers will be notified via email before any price change takes effect on their next billing cycle. If you do not agree with a price change, you may cancel before the new pricing takes effect.

8.4 Failed Payments

If a payment fails, we may restrict access to paid features until the payment issue is resolved. We will attempt to notify you via email before any access restriction.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Generate content that is defamatory, harassing, threatening, or infringes on others' rights
  • Attempt to access other users' accounts or data
  • Reverse-engineer, decompile, or otherwise attempt to extract the Service's source code
  • Use automated tools (bots, scrapers) to access the Service beyond its intended use
  • Resell, redistribute, or sublicense access to the Service or its outputs
  • Exceed your plan's usage limits through circumvention, automation, or abuse
  • Interfere with or disrupt the Service's infrastructure or other users' access
  • Use the Service to generate spam, misleading content, or content designed to manipulate platform algorithms

We reserve the right to suspend or terminate accounts that violate these acceptable use provisions, with or without prior notice depending on severity.

10. YouTube API Compliance

By using features that connect to YouTube, you also agree to be bound by the YouTube Terms of Service and Google Privacy Policy.

You may revoke Prepostr's access to your YouTube data at any time via your Google security settings. Revoking access will prevent the Service from accessing your YouTube channel data but will not automatically delete data already stored in your account. To delete stored data, please delete your projects or contact us.

11. Copyright and DMCA

We respect intellectual property rights. If you believe that content available through our Service infringes your copyright, please contact us at [email protected] with:

  • A description of the copyrighted work you claim has been infringed
  • The location (URL or description) of the allegedly infringing content
  • Your contact information
  • A statement that you have a good-faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not guarantee that AI-generated content will be accurate, original, complete, or suitable for any particular purpose.
  • We are not responsible for any consequences of publishing AI-generated content on third-party platforms.
  • YouTube data accuracy depends on the YouTube Data API and may not always be up-to-date or complete.
  • We do not guarantee continuous, uninterrupted access to the Service. Features may be modified, suspended, or discontinued at any time.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Prepostr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, use, goodwill, or other intangible losses resulting from:

  • Your use of, or inability to use, the Service
  • Any unauthorized access to or use of our servers and/or personal information stored therein
  • Any AI-generated content, suggestions, or recommendations
  • Any interruption, suspension, or cessation of the Service
  • Any third-party actions, including changes to YouTube API access or availability
  • Any content or conduct of any third party on the Service

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) fifty US dollars (US $50.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Prepostr and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Content you create, generate, modify, or publish using the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Your violation of any applicable law or regulation

15. Service Availability and Force Majeure

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, pandemics, or government actions
  • Internet or infrastructure outages
  • Third-party API changes, rate limiting, or discontinuation (including YouTube API changes)
  • Cyberattacks, DDoS attacks, or security incidents
  • Changes in applicable laws or regulations

16. Account Termination

  • You may delete your account at any time by contacting us at [email protected].
  • We may suspend or terminate your account if you violate these Terms, with or without prior notice depending on the severity of the violation.
  • Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days, except where retention is required by law or for legitimate business purposes (e.g., billing records).
  • Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

17. Changes to These Terms

We may update these Terms from time to time. For material changes, we will notify you via email and/or through a prominent notice on the Service at least 14 days before the changes take effect. The "Last updated" date at the top reflects the most recent revision.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and may request account deletion.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of law provisions.

Any dispute arising under or in connection with these Terms shall first be resolved through good-faith negotiation for a period of at least 30 days. If unresolved, the parties elect the courts of the city of São Paulo, State of São Paulo, Brazil, as the exclusive forum for any legal proceedings, to the exclusion of any other, however privileged it may be.

For users residing in jurisdictions where local consumer protection laws grant mandatory rights or require local jurisdiction, those rights and requirements shall apply to the extent required by applicable law.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prepostr regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
